Publication of Prospectus

NewRiver is pleased to announce the publication of the prospectus of NewRiver REIT plc ("NewRiver Holdco") dated 15 August 2016 (the "Prospectus") in connection with the admission of its entire issued and to be issued ordinary share capital to the premium listing segment of the Official List of the UK Listing Authority ("Premium Listing") and to trading on London Stock Exchange plc's ("LSE") Main Market for listed securities (together, "Admission").

It is expected that Admission will become effective and that dealings in NewRiver Holdco's shares on the Main Market will commence at 8.00 a.m. (London time) on 18 August 2016. The admission to trading on AIM of NewRiver's shares will also be cancelled at the same time.

The Prospectus has been submitted to the National Storage Mechanism where it will shortly be available for inspection at www.morningstar.co.uk/uk/NSM.

In addition, the Prospectus will shortly be available to view on NewRiver's website, http://www.nrr.co.uk and copies of the Prospectus will be made available for inspection at NewRiver's head office at 37 Maddox Street, London, W1S 2PP.
