PRESS RELEASE TBS Group grows stronger in France. Crimo France Sas has been acquired for €6.0 million. The company, operating in the field of biomedical equipment maintenance, has revenues in excess of €7 million.

TBS Group consolidates its leadership in the French market. Through its subsidiary TBS FR Sarl, on the 23rdJuly, the company formalised the takeover of Crimo France Sas, which provides biomedical equipment maintenance services, in particular for endoscopic and surgical
equipment.
Crimo France employs approximately sixty people and operates throughout the French territory. In the last fiscal year it reported revenues in excess of €7 million. Its headquarters are located in Villeneuve - le - Roi, in Val-de-Marne, Ile de France.
The maximum purchase price was set to €6 million, which includes the net financial position at the sale date. Upon signature of the agreement, €2.926 million were paid; the total amount will be settled by March 2016 at the latest. The price may be only reduced based on the final net financial position or the fulfillment of specific contractual clauses.
For the transaction, TBS Group used cash coming from previously available credit lines.
It should be noted that, upon signing the contract, Crimo France's founders and directors, i.e. Mario, Mario Manuel, David and Romain Massarelli, entered into a non-competition agreement for a minimum term of three years which, aside from the French territory, extends to Spain, Italy, Portugal and Belgium.
