Mr. Tom Dyck reports

TD APPOINTS SYLVIE DEMERS AS NEW BRANCH BANKING LEADER IN QUEBEC

The Toronto-Dominion Bank has appointed Sylvie Demers to lead branch banking in Quebec, taking on the role of head, Quebec region, branch banking, TD Canada Trust, effective May 4, 2015. She replaces Christine Marchildon, senior vice-president, Quebec region, branch banking, TD Canada Trust, who recently announced her retirement.

"Ms. Demers's deep business experience across a number of TD business lines, combined with her financial acumen and strong relationship management capabilities, made her the ideal candidate to lead branch banking in Quebec," said Tom Dyck, executive vice-president, community banking, TD Bank Group. "We are delighted to appoint an executive of Sylvie's calibre to lead our efforts in Quebec," he said. "Sylvie's proven ability to maximize her teams' abilities and achieve excellent results positions us well for continued growth."

Ms. Demers welcomed the opportunity to lead TD's 2,200 branch banking employees and 131 branches in Quebec.

"It is a privilege for me to take on this leadership role in Quebec," she said. "I intend to continue the excellent progress accomplished over the past 11 years under the leadership of Christine Marchildon. We are committed to delivering legendary experiences to our customers, and supporting the communities in which we work and live, and these commitments will continue to guide our growth in Quebec."

Ms. Demers has served in a number of progressively senior roles with TD since joining the bank in 1985. These include regional vice-president and market leader, Eastern Canada, roles with private client services at TD Waterhouse and with TD Insurance, including the role of vice-president, affinity market group, TD Insurance. Most recently, she served as vice-president, strategic business initiatives, retail strategy and solutions group, overseeing key initiatives focused on the review and design of branch processes and operations.

In addition to her role at TD, Ms. Demers is well known in the Montreal community through her involvement in a number of non-profit organizations. In recent years, she has accepted the honorary presidency of various fundraising campaigns to benefit organizations such as the Quebec Breakfast Club, Sainte-Justine Hospital and the CHUM Hospital. Ms. Demers is also a board officer for the Festival of Montreal Chamber of Music. In addition, she has previously spoken at a number of forums to promote the advancement of women in the workplace, including greater representation on boards of directors.

Ms. Demers grew up in Sherbrooke and worked for two years in Drummondville earlier in her TD career, where she was also involved with the Canadian Cancer Society. A mother of two children aged 17 and 19, Ms. Demers has a keen interest in sport, including alpine skiing, golf and cycling, and enjoys a range of music, including classical and opera, folk, and rock.

She studied at Ecole des hautes etudes commerciales (HEC) and has a specialization in finance.

A strong succession plan

Ms. Marchildon has served as Quebec's market leader for 11 years, having been appointed as senior vice-president, Quebec region, in 2004 and chair of team Quebec in 2012. Under her leadership, TD Canada Trust has achieved impressive growth in Quebec, as demonstrated by the increase of 84 to 131 branches. She will remain chair of team Quebec on a part-time basis upon her retirement until December, 2015.

"I wish Christine and her family all the very best in the coming years," said Mr. Dyck. "I would like to congratulate her on an outstanding career, including the instrumental role she has played in leading TD's growth in Quebec."
