Franklin Resources, Inc., on behalf of Franklin 
Templeton Institutional, LLC ("FTILLC"), acting in 
the capacity as discretionary investment manager to 
underlying funds and managed accounts hereby gives 
notice that due to a series of transactions, FTILLC's 
shareholdings in ABG Sundal Collier Holding ASA, as 
of 29 August, 2014, has exceeded the 10% threshold to 
10.06% of issued shares and votes, which totals to 
46,049,455 shares.  For purposes of this 
Notification, an outstanding share figure of 
457,879,395 shares was used to calculate the 
percentage.

At the present time, Franklin Templeton Investment 
Funds, which is managed by FTILLC, holds 9.84% of the 
total voting rights in ABG Sundal Collier Holding ASA.

The underlying funds and managed accounts managed by 
FTILLC do not hold any rights to shares in ABG Sundal 
Collier Holding ASA.
